VESSEL TERMS AND CONDITIONS

AND RELEASE AND WAIVER OF LIABILITY

‍

PLEASE READ THE VESSEL TERMS AND CONDITIONS RELEASE AND WAIVER OF LIABILITY (“AGREEMENT”) CAREFULLY. IT AFFECTS THE LEGAL RIGHTS OF EACH GUEST THAT PURCHASES A TICKET TO OR ENTERS THE VESSEL EXPERIENCE AT HUDSON YARDS (THE “VESSEL”).

In consideration for being permitted to enter the Vessel, an interactive staircase and art installation located at Hudson Yards, provided and/or operated by ERY Vessel LLC (“Company”), I, on behalf of myself and my participating minor child/children, if any, agree to the following:

ACKNOWLEDGEMENT OF RISKS. I am aware and understand that the Vessel is an interactive and immersive architectural experience that inherently involves potential risks and dangers associated with interacting with and in, and traversing through, in and/or around, an art exhibition. Those risks may include, for example, slipping, being knocked off balance, falling, exposure to heights (which may cause vertigo, nausea, or discomfort), exposure to flashing or intermittent special effects or lighting, personal injury, or death.
ASSUMPTION OF RISKS. DESPITE THE RISKS AND DANGERS INHERENT IN VISITING THE VESSEL, I AGREE TO ASSUME ANY AND ALL RISKS CONNECTED WITH THE VESSEL, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE OR LOSS.
RELEASE AND WAIVER OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, I, ON BEHALF OF MYSELF, MY HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS AND ASSIGNS HEREBY WAIVE, HOLD HARMLESS AND RELEASE COMPANY AND ITS OFFICERS, DIRECTORS, AFFILIATES, PARTNERS, MEMBERS, MANAGERS, EMPLOYEES AND AGENTS AND THE OWNERS OR LESSEES OF ANY PREMISES USED FOR THE VESSEL (COLLECTIVELY, “RELEASED PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LAWSUITS, DAMAGES, AND LIABILITIES OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, IN LAW OR EQUITY THAT I, MY HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS AND ASSIGNS EVER HAD OR MAY HAVE, ARISING FROM OR IN ANY WAY RELATED TO MY VISIT TO THE VESSEL.
DISCLAIMER. COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE VESSEL. COMPANY EXPRESSLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF ACCURACY OR QUALITY AND ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT AND ASSUMES NO LIABILITY FOR ANY LOSS, INJURY, OR DAMAGE, INCLUDING PHYSICAL INJURY OR DAMAGES OR LOSS TO PROPERTY.
DISPUTES. Any dispute or claim relating in any way to the Vessel or Company will be resolved by binding arbitration, rather than in court. The Federal Arbitration Act and federal arbitration law, and the laws of the State of New York, apply to this agreement and any matters relating to this Agreement. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow this Agreement as a court would. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to: c/o Related Companies, 30 Hudson Yards, New York, NY 10001, Attention: Hudson Yards, General Counsel. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial and agree that any such court proceeding must take place in a federal or state court located in New York County, State of New York. I irrevocably consent and submit to the personal jurisdiction of such courts and waive any claim that any such court is an inconvenient forum or venue.
NOTICE OF FILMING OR RECORDING. I understand that I may be photographed, filmed, or otherwise recorded at the Vessel, and that all photographs, recordings, and video footage taken of me by or on behalf of the Company while at the Vessel (“Recordings”) will be the property solely of Company. As the owner of the Recordings, subject to Company’s compliance with applicable laws, Company has the unconditional, irrevocable right to use the Recordings in all media and formats, whether now or later known or developed.
FITNESS AND RESPONSIBLE BEHAVIOR. I represent that I (and any minor children or other people under my responsibility or control): (a) am not under the influence of any alcohol, drugs, or medications that would alter or impair my or their senses, judgment, or fitness for participation; (b) am not aware of any physical, emotional, or other condition that could create a hazard to me or others as a result of entering or experiencing the Vessel; and (c) will act responsibly during my participation with and at the Vessel in accordance with all of the Vessel’s rules, regulations, procedures and standards of conduct set forth herein, including the “The Vessel Guest Rules and Policies” (as updated from time to time) or otherwise posted on the Vessel’s premises or in its vicinity.
EMERGENCY MEDICAL CARE. I give permission to Company to administer first aid and to arrange for emergency medical care, treatment, and transportation for me in case of a medical emergency. I also give permission to the health care professional selected by Company to examine, diagnose and treat me, or secure treatment for me, if proper and necessary under the circumstances. I acknowledge that I am solely responsible for any and all charges for medical services provided to me or on my behalf and for carrying my own health insurance. The waiver and release of liability in this Agreement extends to any liability arising out of or in any way connected with any such medical treatment and transportation I receive or any failure to provide such treatment or transportation.
INSPECTION; SEARCHES. I give permission to Company to search my person and belongings prior to my entry to the Vessel and at any time while I am on the Vessel premises. I agree that if I refuse to submit to such search or am found to be in possession of dangerous or unsuitable materials (as determined in Company’s sole discretion), I may be refused entry to or removed from the Vessel and its vicinity.
INVALIDITY. If any portion (e.g., paragraph or sentence) of this Agreement is held invalid, illegal, or unenforceable to any extent and for any reason by any court of competent jurisdiction, such portion will be excluded to the extent of such invalidity or unenforceability; all other terms of this Agreement will remain in full force and effect; and, to the extent permitted and possible, the invalid or unenforceable term will be deemed replaced by a term that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable term.
MODIFICATIONS. Company reserves the right to amend or vary the terms of the Agreement (and any exhibits or amendments to the Agreement) from time to time by posting such updated terms on the Vessel website.
MISCELLANEOUS. This Agreement states the complete understanding as to its subject matter, and may only be modified (or any provision waived) by a writing signed by the parties. I understand and agree that this Agreement is legally binding on me, my minor children, if applicable, my heirs, personal representatives, and assigns.
PARENT/GUARDIAN CONSENT FOR GUESTS UNDER THE AGE OF 18. I represent that I am over the age of 18 and/or I am the parent or guardian of a guest that is under the age of 18 (“Minor”). If I am a parent entering into this Agreement on behalf of a minor: (a) I have the right to consent to this Agreement on behalf of the Minor and myself; (b) I hereby consent to and approve in all respects the terms and conditions of this Agreement and the minor's execution of this Agreement, and agree that both the minor and I shall be bound by all of its terms and conditions; and (c) to the fullest extent permitted by law, I, on behalf of myself, the Minor and the Minor’s heirs, family members, executors or administrators, release and hold harmless the Released Parties from any and all liabilities incident to the Minor’s experience at the Vessel, as provided in this Agreement.

BY PURCHASING A TICKET TO OR ENTERING THE VESSEL, I UNDERSTAND THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE RELEASED PARTIES.

THE VESSEL GUEST RULES AND POLICIES

1. Admission & Ticketing.

Guests must have a valid ticket to enter the Vessel.
Tickets are valid for the date and/or time specified on your ticket. If you are late, you may be permitted to enter at later time slot; however, admission is not guaranteed and is subject to availability.
All tickets are non-transferable and void if altered. All refunds are at the discretion of the operator.
Tickets can be reissued for a future date in the event of closure due to weather.
Children ages five years or younger may attend the Vessel when accompanied by an adult ticket holder.
Children must be accompanied and supervised by an adult.
Re-entry to the Vessel is not permitted. If you leave Vessel, you cannot re-enter without obtaining a new ticket.
We reserve the right, at all times, in our sole discretion, to expel, or prohibit guest access to the Vessel for any reason, including (i) the termination of all general public access during the time guests are otherwise scheduled to have access; (ii) to comply with applicable law or requests from law enforcement; (iii) for security reasons; or (iv) any violation of the Agreement, including these Guest Rules and Policies.

2. Access for Individuals with Disabilities. The Vessel is wheelchair accessible. The Vessel space is accessible with the use of ramps and elevators. Individuals who require, or anticipate a need for, assistance should contact Vessel on-site staff, or are encouraged to email Vessel@hudsonyardsnewyork.com or call 212-801-1000 in advance of visiting the Vessel.

3. Large Group Booking.

Large group reservations are required for groups of 15 or more. Please contact us at 1-332-204-8500 or email us at groups@hudsonyardsnewyork.com to inquire about your group visit.
Large group reservations must be reserved at least 3 days in advance and payment for ticket purchases must be paid at the time of booking.
Group size may be limited per time slot, subject to availability. Some blackout or other restrictions may apply.
One chaperone per every 10 guests (ages 0-18) are required. Chaperones must remain with the group at all times. Chaperones must be older than 21 years to qualify as a chaperone.
Tickets can be reissued for a future date in the event of closure due to weather.
We reserve the right to refuse or dismiss any group for misconduct.
Unapproved third-party guided tours are not permitted inside Vessel.

4. Permitted Areas and Safety. You must remain within permitted areas as designated by Company or the Vessel staff members. You must follow any instructions given by Company or staff members. All guests are responsible for their own safety and for the safety of any accompanying children.

5. CCTV, Security Recordings, and Personal Data. Company uses closed circuit television (CCTV) and other audio and visual recordings in the Vessel for security reasons. By entering the Vessel, you agree that Company may use such images and recordings for the purposes of maintaining and investigating safety and security at the Vessel and within its vicinity in accordance with its Privacy Policy.

6, Prohibited Items. Company has the exclusive right to determine what items may be brought into the Vessel. The Company may refuse entry or remove guests from the exhibition space if a guest attempts to bring or has brought a prohibited item into the Vessel. The following items are prohibited:

Dangerous materials (including but not limited to): Weapons, sharp objects, fireworks, smoke bombs, glass bottles, flammable liquids, knives, scissors, cutting devices of any kind.
Large Items (including but not limited to): Bags, bicycles, skateboards, roller skates, umbrellas or large photographic equipment.
Luggage: Guests may not bring any luggage of any kind into the exhibition space (luggage includes any parcel or backpack that is larger than 9 X 14 X 22).
Food and Drink. No food and drink (except water in clear plastic bottles) is allowed on the Vessel. Glass bottles are strictly prohibited.
Pets or Animals. All pets or animals are expressly prohibited in the Vessel, with the exception of service animals as defined under the Americans with Disabilities Act (ADA).
Audio and Visually Distracting Items (including but not limited to): Horns, whistles, megaphones, flags or banners are expressly prohibited.

7. Guest Conduct.

No Smoking. Smoking of any kind (including the use of e-cigarettes) is strictly prohibited in the Vessel at all times.
No Strollers. Strollers, baby carriages and similar means of transport are not permitted inside the Vessel.
Guest Photography and Video.some text
- Guests may take personal photographs and personal video within the Vessel solely for their private, personal, and non-commercial use. Guests may not publish, sell, reproduce, transfer, distribute, or otherwise commercially exploit videos and photographs except as expressly permitted in the Agreement. Company must approve the creation of any commercial media, commercial photography or commercial video in advance in writing. Inquiries regarding commercial media or commercial photography may be directed to communications@related.com.
- Guests should exercise caution when using cell phones and cameras and remain aware of their surroundings; failure to do so may lead to serious injury or death.
- The use of unmanned aerial vehicles (UAVs), or drones is not permitted.
- The use of tripods, monopods, portable lighting kits, light reflectors, boom microphones, dolly tracks and other photographic or videographic equipment is not permitted.
Guest Sketching and Drawing. Guests are permitted to sketch and draw within the Vessel, but use of permanent markers and paint is not permitted.
No running, jumping or playing in the Vessel.
No signs or banners are permitted.
Priority access to the elevator is reserved for visitors with disabilities.
Do not obstruct stairs. Please stay on the walkways.

HUDSON YARDS WALKING TOUR TERMS AND CONDITIONS AND RELEASE AND WAIVER OF LIABILITY

PLEASE READ THE HUDSON YARDS WALKING TOUR TERMS AND CONDITIONS AND RELEASE AND WAIVER OFLIABILITY ("AGREEMENT") CAREFULLY. IT AFFECTS THE LEGAL RIGHTS OF EACH GUEST THAT PURCHASES A TICKET TO OR PARTICIPATES IN THE GUIDED WALKING TOUR OF THE HUDSON YARDS CAMPUS (THE "TOUR").

In consideration for being permitted to participate in the Tour provided and/oroperated by ERY Vessel LLC, or an afﬁliate there of ("Company"), I, on behalf of myself and any minor children or other people under my responsibilityor control, if any, agree to the following:

1. THE TOUR; SEPARATE TERMS GOVERNING EDGE AND VESSEL

The Tour is a guided experience that travels on foot through indoor and outdoor areas of the Hudson Yards campus, including public plazas, sidewalks, streets, retail and dining areas, and other locations selected by Company. The Tour includes admission to, and stops at, the Edge observation deck experience ("Edge") and the Vessel interactive staircase and art installation ("Vessel").

I understandand agree that Edge and Vessel are separate experiences. Edge is providedand/or operated by an entity other than Company, and my admission to and presence at Edge are governed by Edge’s own terms and conditions and release and waiver of liability, in addition to this Agreement. Vessel is operated by Company, and my admission to and presence at Vessel are governed by Vessel’s own terms and conditions and release and waiver of liability, in addition to this Agreement:

By purchasing a ticket to or participating in the Tour, I acknowledge that I have had the opportunity to review the Edge and Vessel terms and conditions, and I agree to be bound by each of them with respect to my admission to and conduct at Edge and Vessel. Where a provision of this Agreement conﬂicts with aprovision of the Edge or Vessel terms and conditions as applied to my presenceat Edge or Vessel, the Edge or Vessel terms (as applicable) control as to thatexperience. Nothing in this Agreement limits, waives, or supersedes any release, waiver, disclaimer, or dispute resolution provision contained in the Edge or Vessel terms and conditions.

Tickets to Edge and Vessel that are issued as part of a Tour ticket are valid only for the Tour date on which they are issued, are not separately transferable or refundable, and do not entitle me to re-entry to Edge or Vessel.

2. ACKNOWLEDGEMENT OF RISKS

I am aware and understand that the Tour is a walking experience conducted in an active, mixed-use urban environment that inherently involves potential risks and dangers. Those risks may include, for example: walking for extended periods and over distances; uneven, wet, slippery, or sloped walking surfaces; stairs, ramps, elevators, and escalators; curbs and thresholds; construction and maintenance activity; crowds and contact with other members of the public; vehicular, bicycle, and other trafﬁc; exposure to weather, heat, cold, wind, sun, precipitation, and poor air quality; exposure to heights at Edge and Vessel (which may cause vertigo, nausea, or discomfort); exposure to ﬂashing or intermittent special effects or lighting; exposure to loud noise; consumption of food and beverage samples; slipping, tripping, being knocked off balance, or falling; over exertion, dehydration, or aggravation of an existing medical condition; loss of or damage to personal property; personal injury; or death.

3. ASSUMPTION OF RISKS

DESPITE THE RISKS AND DANGERS INHERENT IN PARTICIPATING IN THE TOUR, I AGREE TO ASSUME ANY AND ALL RISKS CONNECTED WITH THE TOUR, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, ILLNESS, ALLERGIC OR ADVERSE REACTION, DEATH, PROPERTY DAMAGE OR LOSS.

4. RELEASE AND WAIVER OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, I, ON BEHALF OF MYSELF, MY HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS AND ASSIGNS HEREBY WAIVE, HOLD HARMLESS AND RELEASE COMPANY AND ITS OFFICERS, DIRECTORS, AFFILIATES, PARTNERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, TOUR GUIDES AND CONTRACTORS, THE OWNERS, OPERATORS, AND LESSEES OF ANY PREMISES VISITED ON OR USED FOR THE TOUR (INCLUDING WITHOUT LIMITATION EDGE AND VESSEL), AND ANY THIRD-PARTY VENDOR THAT PROVIDES FOOD, BEVERAGE, OR OTHER GOODS OR SERVICES IN CONNECTION WITH THE TOUR (COLLECTIVELY, "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LAWSUITS, DAMAGES, AND LIABILITIES OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, IN LAW OR EQUITY THAT I, MY HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS AND ASSIGNS EVER HAD OR MAY HAVE, ARISING FROM OR IN ANY WAY RELATED TO MY PARTICIPATION IN THE TOUR.

5. FOOD AND BEVERAGE SAMPLES; ALLERGENS AND DIETARY RESTRICTIONS

The Tour includes a stop at which guests are offered complimentary food and/or beverage samples. I understand and agree that:

Consumptionis voluntary. Accepting and consuming a sample is entirely optional. No portion of the ticket price is allocated to the samples, and declining a sample does not entitle me to any refund, credit, or substitution.

Cross-contact is possible. Samples are prepared, handled, and served in facilities and areas that also handle other foods. Company does not represent that any sample is free from any particular allergen or trace of any allergen, and cannot guarantee against cross-contact. Guests with severe allergies should not consume the samples.

I am responsible for my own dietary needs. I represent that I (and any minor children or other people under my responsibility or control) will not consume any sample that is unsuitable due to an allergy, intolerance, medical condition, medication, religious or other dietary restriction, or age.

Sample offerings vary. Samples are subject to availability and may be substituted, modiﬁed, or omitted at any time without notice.

To the fullest extent permitted by law, the release and waiver in Section 4 extends toany claim arising from or related to my consumption of, or exposure to, any food or beverage offered in connection with the Tour, including any allergic oradverse reaction.

6. ACCESSIBILITY

The Tour route, and each stop on the Tour, is accessible to individuals with disabilities in accordance with the Americans with Disabilities Act ("ADA"), including through step-free routes, ramps, and elevators. Service animals as deﬁned under the ADA are welcome on the Tour.

Guests should be aware that the Tour involves approximately seventy-five (75) minutes of walking, and Company encourages each guest to consider their own comfort, stamina, and medical circumstances in deciding whether to participate. Personal mobility devices, wheelchairs, and other mobility aids are permitted throughout the Tour. Some individual stops on the Tour are operated by third parties andare subject to those operators' own accessibility policies; see the Edge and Vessel terms and conditions and accessibility statements for details applicable to those experiences.

7. DISCLAIMER

COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE TOUR. COMPANY EXPRESSLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF ACCURACY OR QUALITY AND ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT AND ASSUMES NO LIABILITY FOR ANY LOSS, INJURY, OR DAMAGE, INCLUDING PHYSICAL INJURY OR DAMAGES OR LOSS TO PROPERTY. INFORMATION PROVIDED BY TOUR GUIDES IS OFFERED FOR GENERAL INTEREST AND ENTERTAINMENT ONLY AND IS NOT REPRESENTED TO BE COMPLETE OR ERROR-FREE.

8. DISPUTES

ARBITRATION AGREEMENT — PLEASE READ; THIS AFFECTS YOUR LEGAL RIGHTS, INCLUDING A WAIVER OF YOUR ABILITY TO SUE IN COURT AND A WAIVER OF ANY RIGHT TO A JURY TRIAL IN ACOURT PROCEEDING.

Any dispute or claim relating in any way to the Tour or Company will be resolved by binding arbitration, rather than in court, subject to the informal dispute resolution and batching procedures below. The Federal Arbitration Act and federal arbitration law, and the laws of the State of New York, apply to this Agreement and any matters relating to this Agreement. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis damages and relief (including injunctive and declaratory relief or statutory damages) and must follow this Agreement as a court would.

Informal Dispute Resolution Required. Before commencing arbitration, you must ﬁrst send a written notice of dispute to ERY Vessel LLC, 30Hudson Yards, 72^nd Floor, New York, New York 10001, Attention: General Counsel, describing the nature of your claim and the speciﬁc relief sought. You and Company agree to negotiate in good faith to resolve the disputefor at least sixty (60) days after the notice is sent. You may not ﬁle a Demandfor Arbitration until this 60-day period has run and good-faith negotiation hasbeen attempted. This notice-and-negotiation requirement must be satisﬁed individually by each claimant; it cannot be satisﬁed on a collective orcoordinated basis.

Arbitration Administration. If the dispute is not resolved through the informal process described above, the arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes and, where applicable, the AAA's Mass Arbitration Supplementary Rules. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. In addition to the AAA’s rules, you agree that the arbitrator may not award punitive damages or incidental damages. Payment of all ﬁling, administration and arbitrator fees will be governed by the AAA's rules. You may choose to have the arbitration conducted remotely, based on written submissions, or in person at a mutuallyagreed location.

Batching of Related Claims. If 25 or more similar Demands for Arbitration are ﬁled against Company by or with the assistance of the same law ﬁrm, group of law ﬁrms, or organization within any 60-day period, the parties agree that the AAA's Mass Arbitration Supplementary Rules (the “Rules”) will govern, including administration of the demands in batches, appointment of one arbitrator per batch, and resolution of each batch as a single consolidated proceeding for purposes of ﬁling and administrative fees. Regardless of any changes to the applicable AAA rules, no arbitrator has authority to resolve more than one batch's claims unless the parties agree otherwise.

Threshold Issues Decided by a Court. Not withstanding the foregoing, any dispute about the validity or scope of the class, collective,and representative action waiver below, or about whether the informal dispute resolution or batching requirements in this section have been satisﬁed, will bedecided by an arbitrator.

Individual Basis Only. We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not ina class, consolidated, or representative action.

Severability. If any part of this Disputes section —including the batching provision — is found unenforceable, that part will be severed, and the remainder, including the requirement to arbitrate on anindividual basis and the class/collective action waiver, will remain in fullforce.

If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial and agree that any such court proceeding must take place in a federal or state court located in NewYork County, State of New York. I irrevocably consent and submit to the personal jurisdiction of such courts and waive any claim that any such court isan inconvenient forum or venue.

9. NOTICE OF FILMING OR RECORDING

I understandthat I may be photographed, ﬁlmed, or otherwise recorded on the Tour, and that all photographs, recordings, and video footage taken of me by or on behalf of Company while on the Tour ("Recordings") will be the property solely of Company. As the owner of the Recordings, subject to Company's compliance with applicable laws, Company has the unconditional, irrevocable right to use the Recordings in all media and formats, whether now or later known or developed. I further understand that the Tour travels through public and semi-public spaces in which I may be recorded by third parties over whom Company has no control.

10. FITNESS AND RESPONSIBLE BEHAVIOR

I represent that I (and any minor children or other people under my responsibility or control): (a) am not under the inﬂuence of any alcohol, drugs, or medications that would alter or impair my or their senses, judgment, or ﬁtness forparticipation; (b) am not aware of any physical, emotional, or other condition that could create a hazard to me or others as a result of participating in the Tour, including any condition that would be aggravated by walking, standing, exposure to weather, or exposure to heights; and (c) will act responsibly during the Tour in accordance with all of Company's rules, regulations, procedures and standards of conduct set forth herein, including "The Tour Guest Rules and Policies" below (as updated from time to time), the instructions of my Tour guide, and any rules posted at or applicable to any stop on the Tour.

11. EMERGENCY MEDICAL CARE

I give permission to Company to administer ﬁrst aid and to arrange for emergency medical care, treatment, and transportation for me in case of a medical emergency. I also give permission to the health care professional selected by Company to examine, diagnose and treat me, or secure treatment for me, if proper and necessary under the circumstances. I acknowledge that I am solely responsible for any and all charges for medical services provided to me or on my behalf and for carrying my own health insurance. The waiver and release of liability in this Agreement extends to any liability arising out of or in anyway connected with any such medical treatment and transportation I receive or any failure to provide such treatment or transportation.

12. INSPECTION; SEARCHES

I give permission to Company to search my person and belongings prior to and at anytime during the Tour, and I acknowledge that the operators of individual stops on the Tour, including Edge and Vessel, may separately require such a search as a condition of entry. I agree that if I refuse to submit to such a search or am found to be in possession of dangerous or unsuitable materials (as determined in the sole discretion of Company or the applicable operator), I may be refused entry to or removed from the Tour or any stop on it, without refund.

13. COMMUNICABLE DISEASE

An inherent risk of community exposure to communicable diseases (including, without limitation, COVID-19) exists in any public place where people gather. Such diseases may be extremely contagious and can lead to severe illness and death. According to the Centers for Disease Control and Prevention, senior citizens and people of any age with underlying medical conditions may be especially vulnerable to certain communicable diseases.

‍

We cannot guarantee you will not be exposed to someone who may be infected with acommunicable disease during the Tour. By participating in the Tour, you acknowledge and agree that you assume all inherent risks, including but notlimited to risks arising from ordinary negligence, of exposure to acommunicable disease.

For the most updated, accurate information on communicable diseases, turn to established public health resources, including the NYC Department of Health & Mental Hygiene, the New York State Department of Health, and the Centers for Disease Control & Prevention (CDC).

14. INVALIDITY

If any portion (e.g., paragraph or sentence) of this Agreement is held invalid, illegal, or unenforceable to any extent and for any reason by any court of competent jurisdiction, such portion will be excluded to the extent of such invalidity or unenforceability; all other terms of this Agreement will remainin full force and effect; and, to the extent permitted and possible, the invalid or unenforceable term will be deemed replaced by a term that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable term.

15. MODIFICATIONS

Company reserves the right to amend or vary the terms of this Agreement (and any exhibits or amendments to it) from time to time by posting such updated terms on the Tour website.

‍

16. MISCELLANEOUS

This Agreement states the complete understanding as to its subject matter, and may only be modiﬁed (or any provision waived) by a writing signed by the parties. I understand and agree that this Agreement is legally binding on me, my minor children, if applicable, my heirs, personal representatives, and assigns.

‍

17. PARENT/GUARDIAN CONSENT FOR GUESTS UNDER THE AGE OF 18

I represent that I am over the age of 18 and/or I am the parent or guardian of a guest thatis under the age of 18 ("Minor"). If I am a parent entering into this Agreement on behalf of a Minor: (a) I have the right to consent to this Agreement on behalf of the Minor and myself; (b) I hereby consent to and approve in all respects the terms and conditions of this Agreement for myself and on behalf of the Minor, and agree that both the Minor and I shall be bound by all of its terms and conditions; (c) I am solely responsible for supervising the Minor throughout the Tour, including at the food and beverage sample stop, and for determining what, if anything, the Minor consumes; and (d) to the fullest extent permitted by law, I, on behalf of myself, the Minor and the Minor's heirs, family members, executors or administrators, release and hold harmless the Released Parties from any and all liabilities incident to the Minor's participation in the Tour, as provided in this Agreement.

BY PURCHASING A TICKET TO OR PARTICIPATING IN THE TOUR, I UNDERSTAND THAT I AM VOLUNTARILY GIVING UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THERELEASED PARTIES.

‍

THE TOUR GUEST RULES AND POLICIES

‍

1. Admission & Ticketing

Guests must have a valid ticket to participate in the Tour.

‍

Tickets are valid only for the date and departure time speciﬁed on the ticket. Tours departpromptly at the scheduled time from the entrance of Vessel. Guests are asked to arrive at least ten (10) minutes before departure.

‍

Late arrivals may be permitted to join a later departure; however, admission is not guaranteed and is subject to availability. A guest who misses their Tour departure and cannot be accommodated on a later Tour is not entitled to a refund.

‍

Tour tickets include admission to Edge and Vessel, valid only on the date of the Tour. Admission to Edge and Vessel is subject to the separate terms and conditions of each of those experiences, and to their capacity, operating hours, and closures.

‍

All tickets are non-transferable and void if altered. Tickets may be cancelled for a full refund, provided that the cancellation request is received at least seven (7) days before the Tour’s scheduled start time specified on the applicable ticket. Cancellations requested less than seven (7) days before the scheduled start time are not eligible for a refund. If a ticket holder fails to arrive by the scheduled tour start time specified on their ticket, the ticket shall be deemed forfeited, and no refund will be issued. Lost, stolen, or destroyed tickets are not replaceable.

‍

Tours shall proceed as scheduled, rain or shine. Tour routes may be adjusted to avoid inclement weather, such as rain, snow, high winds or extreme heat or cold.

Children age five (5) and younger do not require a ticket and may participate when accompanied by an adult ticket holder. Children must be accompanied and supervised by an adult at all times.

‍

Once a Tour has departed, a guest who leaves the Tour may not rejoin it, and re-entry to any stop already visited is not permitted.

We reserve the right, at all times, in our sole discretion, to expel or prohibit guest access to the Tour for any reason, including (i) the termination of all general public access during the time guests are otherwise scheduled to have access; (ii) to comply with applicable law or requests from law enforcement; (iii) for security reasons; or (iv) any violation of the Agreement, including these Guest Rules and Policies. No refund will be issued to any guest expelled for misconduct.

2. Access for Individuals with Disabilities

The Tour is ADA accessible in all of its aspects, including the full route and every stop. Step-free routes, ramps, and elevators are available throughout, and service animals as deﬁned under the ADA are welcome. See also the accessibility policies of Edge and Vessel with respect to those stops.

‍

3. Private & Custom Bookings

Guests interested in a private Tour on a date or at a time other than our published departures may inquire at vessel@hudsonyardsnewyork.com or (332) 204-8500.

Minimum party size. Private bookings require a minimum of two (2) participants. A maximum of fifteen (15) participants per guide applies; larger parties may be divided among multiple guides.
Availability. Requested dates and times are subject to availability, guide staffing, and the operating hours, capacity, and access policies of each stop on the route, including Edge and Vessel. Some dates may be unavailable due to blackout periods, private events, or seasonal operating schedules.
How to book. Inquiries should be submitted at least 7 days before the requested date and should include the requested date and time and expected party size. No private booking is confirmed until Company issues a written confirmation. Full payment shall be due upon booking and confirmation.
Pricing. Private and custom bookings are quoted per booking and may differ from published ticket pricing. Quotes are valid for forty-eight (48) hours and are subject to change until a booking is confirmed.
Custom itineraries. Requests to adjust the route, add or remove stops, change the duration, or add food, beverage, or other elements will be accommodated where feasible, but are subject to Company approval and to the availability and consent of third-party operators. Access to Edge and Vessel remains subject to their own terms and conditions, operating hours, and capacity, and cannot be guaranteed outside their published hours.
Cancellation and rescheduling. A confirmed private booking may be cancelled or rescheduled at least five (5) days before the Tour’s scheduled start time specified on the applicable ticket. Cancellations and requests to reschedule received less than five (5) days before the Tour’s scheduled start time specified on the applicable ticket re not eligible for a refund. If a ticket holder fails to arrive by the scheduled tour start time specified on their ticket, the ticket shall be deemed forfeited, and no refund will be issued..
Accessibility and dietary needs. Guests are encouraged to raise any accessibility accommodation or allergen or dietary concern at the time of inquiry so that arrangements can be confirmed in advance. See Sections 5 and 6 of the Agreement and Guest Rules 2 and 6.
Minors. One chaperone per every 10 participants (ages 0–18) is required. Chaperones must remain with the party at all times and must be older than 21 years to qualify as a chaperone.
Conduct. Private bookings remain fully subject to this Agreement and these Guest Rules and Policies, including the requirement that participants remain with their assigned guide for the duration of the Tour. We reserve the right to refuse or dismiss any party or participant for misconduct, without refund.

4. Route, Itinerary, and Weather

The Tour operates rain or shine. Guests are responsible for dressing appropriately forthe weather and for wearing comfortable, closed-toe, ﬂat-soled footwear suitable for extended walking on city surfaces.

The Tour route, stops, order of stops, duration, and content are subject to change orsubstitution at any time and without notice, at Company's sole discretion, including for reasons of weather, capacity, crowding, construction, private events, security, operational needs, or the closure of any stop. Portions ofthe Tour may be shortened, relocated indoors, or omitted.

The closure or unavailability of any individual stop, including Edge's outdoor sky deck, does not entitle a guest to a refund, and no representation is made as to visibility or viewing conditions at any point on the Tour.

Company may cancel a Tour in its sole discretion, including for severe weather or unsafe conditions. In the event of such cancellation, guests are entitled to a full refund of the ticket price.

5. Staying with the Group

Guests must remain with their Tour guide and group for the duration of the Tour. Guests who separate from the group do so at their own risk, and Company has no obligation to locate, wait for, or readmit them.

Guests must follow all instructions given by their Tour guide, Company staff, and the staff of any stop on the Tour, including instructions concerning street crossings, queuing, elevator use, and permitted areas.

Guests are responsible for their own safety and for the safety of any accompanying children while traveling between stops, including on sidewalks, plazas,crosswalks, and streets that are open to vehicular and bicycle trafﬁc and tothe general public.

6. Food and Beverage Samples

Written allergen information is provided at the sample stop for each item offered. Guests are responsible for reviewing it before consuming anything and for asking staff any questions.

Samples are prepared and served in areas that handle other foods; Company cannot guarantee any sample is free of a given allergen or trace of an allergen, and guests with severe allergies should not consume the samples.

Accepting a sample is optional and no part of the ticket price is attributable to it. Samples are subject to availability and may be substituted or omitted without notice.

Samples are for on-site consumption at the sample stop only and may not be carried onto later portions of the Tour. Note that Edge and Vessel each prohibit outside food and drink other than water in clear plastic bottles.

Guests are responsible for supervising the consumption of samples by any minor in their care.

7. Permitted Areas and Safety

Guests must remain within permitted areas as designated by Company, Tour guides, or the staff of any stop on the Tour. All guests are responsible for their own safety and for the safety of any accompanying children.

‍

8. CCTV, Security Recordings, and Personal Data

Company and the operators of stops on the Tour use closed circuit television (CCTV) andother audio and visual recordings for security reasons. By participating in the Tour, you agree that such images and recordings may be used for the purposes of maintaining and investigating safety and security at Hudson Yards and within its vicinity in accordance with the applicable Privacy Policy.

9. Prohibited Items

Company has the exclusive right to determine what items may be brought on the Tour, and each stop on the Tour may impose its own additional restrictions. Because the Tour enters Edge and Vessel, the most restrictive applicable rules govern for the entire Tour. Guests who attempt to bring a prohibited item may be refused entry to or removed from the Tour or any stop. The following are prohibited:

Dangerous materials (including but not limited to): weapons, sharp objects, ﬁreworks, smoke bombs, glass bottles, ﬂammable liquids, knives, scissors, and cutting devices of any kind.

Large items (including but not limited to): oversized bags, bicycles, scooters, skateboards, roller skates, umbrellas, and large photographic equipment.

Luggage: luggage of any kind, including any parcel or backpack larger than 9" x14" x 22".

Outside food and drink: other than water in a clear plastic bottle. Glass bottles arestrictly prohibited.

Pets or animals: all pets and animals other than serviceanimals as deﬁned under the ADA.

Audio and visually distracting items (including but not limited to): horns, whistles, megaphones, ﬂags, banners, and signs.

Strollers: Strollers, baby carriages, and similar means of transport are permitted along the Tour route, including the ADA-accessible route, but are not permitted inside Vessel. Designated stroller parking is provided outside Vessel and is reachable from the ADA-accessible route. Strollers and their contents are left in designated parking at the guest's own risk, and Company is not responsible for lost, stolen, or damaged property (see Guest Rule 11). At Edge, guests maybe asked to remove their child and fold their stroller for access to elevators and escalators.

10. Guest Conduct

No smoking. Smoking of any kind, including the use of e-cigarettes and vaporizers, is strictly prohibited at all times on the Tour.

Guest photography and video. Guests may take personal photographs on the Tour solely for their private, personal, and non-commercial use. Guests shall not be permitted to take personal photographs of any security equipment. Guests may not publish, sell, reproduce, transfer, distribute, or otherwise commercially exploit such photographs without Company's advance written approval. Inquiries regarding commercial media, or commercial photography may be directed to vessel@hudsonyardsnewyork.com. Guests shall not be permitted to take personal videos on the Tour. Photography and videography at Edge and Vessel are additionally subject to those experiences' own policies.

Guests should exercise caution when using cell phones and cameras and remain aware oftheir surroundings, including trafﬁc and other pedestrians; failure to do so may lead to serious injury or death.

The use of unmanned aerial vehicles (UAVs) or drones is not permitted.

The use of tripods, monopods, portable lighting kits, light reﬂectors, boom microphones, dolly tracks, and other photographic or videographic equipment is not permitted.

No running, jumping, or playing on the Tour or at any stop.

No soliciting, distributing materials, or conducting unauthorized commercial activity.

Unapproved third-party guided tours are not permitted at Edge, Vessel, or elsewhere on theTour route, and Tour tickets may not be used to conduct any other tour or commercial activity.

‍

Guests must not obstruct stairs, walkways, entrances, or elevators. Priority access to elevators is reserved for guests with disabilities.

Guests must comply with all rules, policies, and staff instructions applicable to each stop, including any retail, dining, or public plaza location visited on the Tour, each of which may be operated by a third party subject to its own rules.

11. Personal Property

Guests are solely responsible for their personal belongings at all times. Company is not responsible for lost, stolen, or damaged property. Items found on the Tour maybe turned in to the Vessel Concierge Desk. The Concierge Desk can be reached at (646) 954-3155 during retail hours.
